HCTC Members To Vote On Proposed Bylaw Amendments

Two bylaw amendments have been proposed for the consideration of HCTC members during the 2019 election. Proposed amendments No. 1 and No. 2 have been brought forward by the HCTC board of directors to provide clarity to existing processes.

Following are the proposed amendments. Note: For your reading ease, the language to be added is italicized. Language to be stricken is indicated by a strikethrough.


That the first sentence of ARTICLE I, Section 1.1, Eligibility, be amended as follows:

1.1 Any eligible person, firm, association, corporation, or body politic or subdivision thereof will become a member of HILL COUNTRY TELEPHONE COOPERATIVE, INC. (hereinafter called the “Cooperative”) upon receipt of telecommunications and or information services (hereinafter referred to simply as “services”) from the Cooperative.

REASON FOR PROPOSED AMENDMENT: This amendment clarifies that upon receipt of either telecommunications or broadband (internet) services
(information services), the customer shall become and/or remain a member of the telephone cooperative with full voting privileges and rights on any matter that may come before the membership.


That ARTICLE I, Section 1.6, Definition and Classifications, be amended as follows:

(a)(2) Providing a continuing periodic telecommunications revenue stream for the Cooperative. The Board will determine under rules of general application the types and amounts of revenue streams or the types and amounts of membership that give rise to the privileges and obligations of membership.

REASON FOR PROPOSED AMENDMENT: This amendment clarifies that membership in HCTC is not affected nor contingent on the method of revenue stream.

Members will also vote on director seats unless the district is uncontested.

Directors seeking reelection are:

  • Robert “Bob” Trees, District 1A — Ingram
  • Dorrie Cooper, District 5 — Fredonia, Katemcy, Pontotoc and Streeter
  • Burt Seidensticker, District 6B —Comfort and Sisterdale

Ballots will be mailed no later than Sept. 17, with results to be announced at the next annual membership meeting on Oct. 7.
